TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MHR PRODUCTS, INCLUDING ITS OFFICERS, MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, SUCCESSORS, AND ASSIGNS (COLLECTIVELY, THE "MHR PARTIES"), SHALL NOT BE LIABLE FOR ANY LEGAL ACTION, CLAIM, DEMAND, COMPLAINT, INVESTIGATION, AUDIT, ENFORCEMENT ACTION, ADMINISTRATIVE PROCEEDING, ARBITRATION, LAWSUIT, OR LITIGATION OF ANY KIND BROUGHT, THREATENED, OR ASSERTED AGAINST YOU OR YOUR BUSINESS BY ANY EMPLOYEE, FORMER EMPLOYEE, APPLICANT, CONTRACTOR, AGENCY, REGULATOR, COMPETITOR, OR OTHER THIRD PARTY, WHETHER OR NOT SUCH ACTION ARISES OUT OF, RELATES TO, OR IS BASED IN WHOLE OR IN PART ON YOUR USE, CUSTOMIZATION, IMPLEMENTATION, OR DISTRIBUTION OF ANY MATERIAL.

Categories of Excluded Damages.

WITHOUT LIMITING THE FOREGOING, IN NO EVENT WILL THE MHR PARTIES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; ANY DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST GOODWILL, BUSINESS INTERRUPTION, REGULATORY FINES OR PENALTIES, BACK PAY, FRONT PAY, LIQUIDATED DAMAGES, STATUTORY DAMAGES, ATTORNEYS' FEES, COSTS OF DEFENSE, JUDGMENTS, SETTLEMENTS, OR ANY OTHER MONETARY OR NON-MONETARY HARM — ARISING OUT OF OR RELATING TO THE MATERIALS, THIS DISCLAIMER, OR YOUR USE OF THE SITE OR SERVICES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL OR EQUITABLE THEORY, AND EVEN IF MHR PRODUCTS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Liability Cap.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE MHR PARTIES' TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THE MATERIALS, THIS DISCLAIMER, OR YOUR USE OF THE SITE OR SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT OF SUBSCRIPTION FEES YOU PAID TO MHR PRODUCTS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above exclusions and limitations may not apply to you to the extent prohibited by applicable law. In such jurisdictions, the MHR Parties' liability is limited to the smallest amount permitted by law.

7.Indemnification by You

Your Defense Obligations. To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless the MHR Parties from and against any and all claims, demands, actions, proceedings, losses, liabilities, damages, judgments, settlements, fines, penalties, costs, and expenses (including, without limitation, reasonable attorneys' fees and costs of defense) arising out of or relating to: (a) your use, customization, implementation, or distribution of any Material; (b) any employment, contractor, regulatory, or third-party claim brought against you that arises in whole or in part from any Material; (c) your violation of any applicable law, regulation, or third-party right; (d) your breach of this Disclaimer, the Terms of Service, or any other agreement with MHR Products; and (e) any inaccurate or incomplete information you provided to us at signup or thereafter.

MHR Products reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of such claim. You agree not to settle any claim subject to indemnification without our prior written consent.

The Materials may include references, examples, illustrations, citations to statutes or regulations, summaries of agency guidance, hypothetical scenarios, or links to third-party websites or resources. Such references and links are provided for convenience and informational purposes only. We do not endorse, control, or assume responsibility for the accuracy, completeness, or current validity of any third-party content, guidance, or resource. Statutory and regulatory citations may become outdated, and you must independently verify any cited authority directly with the issuing source before relying on it.

9.Jurisdictional Scope and Applicability

The Materials are designed primarily for use by businesses operating in the State of California, United States. 12.Acknowledgment of Risk Allocation

You acknowledge and agree that: (a) the disclaimers, warranty exclusions, and limitations of liability set forth in this Disclaimer are a material inducement to MHR Products' willingness to make the Materials available to you at the prices charged; (b) MHR Products would not make the Materials available to you without these allocations of risk; (c) the prices charged for the Materials reflect this allocation of risk; and (d) the disclaimers, exclusions, and limitations are reasonable and form an essential basis of the bargain between you and MHR Products.

13.Severability and Survival

If any provision of this Disclaimer is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect. The provisions of this Disclaimer shall survive termination, cancellation, or expiration of your subscription or any other agreement with MHR Products and shall continue to apply to your use of any Material obtained during the term of your subscription.

14.Relationship to Other Agreements

This Disclaimer supplements and is incorporated by reference into the Terms of Service and the Privacy Policy. In the event of any conflict or inconsistency between this Disclaimer and the Terms of Service regarding disclaimers, warranty exclusions, or limitations of liability, the provision most protective of MHR Products shall apply, to the fullest extent permitted by applicable law. Capitalized terms used but not defined in this Disclaimer have the meanings given to them in the Terms of Service.

15.Governing Law and Dispute Resolution

This Disclaimer is governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute, claim, or controversy arising out of or relating to this Disclaimer shall be resolved in accordance with the dispute resolution provisions (including the binding arbitration agreement and class action waiver) set forth in the Terms of Service, which are incorporated herein by reference.

16.Acknowledgment and Acceptance
